Data room ingestion

Upload a data room export as a ZIP, or connect directly to the virtual data room where the provider supports it. Folder structure is preserved and used as a signal. Duplicates and near-duplicates — the same agreement filed in three places with different scan quality — are collapsed into a single canonical record with its variants attached.

Classification and extraction

Every document is classified by type (customer contract, supplier contract, lease, employment agreement, licence, financing document, corporate record) and routed to the extraction schema for that type. The buyer-relevant provisions are then pulled out: change of control, assignment, exclusivity, MFN, termination for convenience, non-compete, IP ownership and licensing, and any unusual restriction on the target’s freedom to operate.

Materiality you control

Thresholds are set at the start of the matter — contract value, term length, counterparty concentration, jurisdiction — and applied consistently to every document. This is where automated review earns its keep: consistency across 4,000 documents is not something a rotating team of reviewers can offer.

The report the deal team reads

Findings are assembled into a red flag report organised by workstream, each with a one-line summary, a severity rating, the source document and the recommended action. The report is generated in your house format and remains fully editable — it is a draft to work from, not an output to send.
