Templates and clause libraries

Start from our jurisdiction-aware base templates — mutual and one-way NDAs, master services agreements, order forms, data processing agreements, IP assignments, reseller and employment agreements — or load your own. Each clause in the library carries an approved position, one or more fallbacks, and guidance on when each is acceptable.

Guided drafting

A short questionnaire captures the parameters that actually change the document: parties, jurisdiction, term, value, whether personal data is processed, whether IP is created, whether the customer is a regulated entity. The draft is assembled from those answers, with conditional clauses included or omitted according to rules you define rather than rules we assume.

Provenance and review

Every clause in the output links back to its library entry and version. When a reviewer changes a clause, they can promote the change back to the library with a note, so the improvement is captured rather than lost in one matter’s file.

Export that respects your house style

Documents export to Word with your numbering scheme, styles, cover sheet and footer intact — because a draft that has to be reformatted is a draft that generates its own work.

Does it replace our precedent bank?

It gives your precedent bank a structure and a version history. Most customers migrate their existing precedents in rather than adopting ours.

Can non-lawyers generate documents?

Yes, within limits you set. A common pattern is self-service NDAs for the sales team with automatic escalation to legal whenever a non-standard answer is given in the questionnaire.

How do you keep templates current?

Base templates are reviewed quarterly by qualified counsel in each covered jurisdiction, and out-of-cycle where a legal development requires it. You are notified when a template you use is updated; adoption is your decision, never automatic.

Is the generated document legal advice?

No. It is a drafting aid. A qualified lawyer must review any document before it is executed, and our Terms of Service say so in terms.
